CONFIDENTIALITY, COPYRIGHT, AND PROPRIETARY AGREEMENT
CLIENT agrees that the content of this Training Program and any written materials provided to CLIENT are proprietary and copyrighted to PPS and CLIENT shall hold the same confidence, and shall not divulge or sell it to others. CLIENT shall utilize this proprietary information solely for the use of CLIENT and its employees unless CLIENT obtains the written consent of PPS, which consent may be withheld at the discretion of PPS.
CLIENT is hereby granted a non-exclusive license for use of all materials provided to CLIENT in any media form, including without limitation, printed materials, audio materials, and electronic materials. CLIENT will not disclose, publish or otherwise utilize any materials provided to it from PPS.
If CLIENT violates the above provisions, PPS shall have the right to injunctive relief and damages. The PARTIES expressly agree that the sum of $50,000.00 per violation is an appropriate amount for the unauthorized use or disclosure of the services and materials provided by PPS to CLIENT. CLIENT shall be responsible for all attorney’s fees and costs incurred by PPS in enforcing these provisions including without limitation, pretrial, trial and appellate proceedings.
